Subscription, Billing, and Refund Terms

These Subscription, Billing, and Refund Terms (the "Subscription Terms") govern the financial relationship between Clevertrek and customers of any Paid Plan. They are incorporated by reference into the Terms of Service. In case of conflict between the Terms of Service and these Subscription Terms on a billing matter, these Subscription Terms prevail for that matter.
Clevertrek is a service operated by Fernando Beneitez Vela-Hidalgo (sole proprietor under Spanish law, NIF 75794423Q, Avenida del Hotel, 1, 15º, 08860 Castelldefels, Barcelona, Spain).
1. Plan Tiers
Clevertrek offers different plan tiers (e.g., Free, Pro, Team, Enterprise — exact names and feature sets are described on the pricing page in the Service). Each tier defines:
- the included features;
- usage limits (number of Workspaces, Visors, members, AI quota, etc.);
- the price and billing cycle;
- any conditions specific to the tier.
The pricing page on the Service is the authoritative source for current plans, prices, and limits, and is updated as the Service evolves.
2. Billing Cycle and Payment Methods
2.1 Paid Plans are typically offered with monthly or annual billing cycles. Some plans may be offered as one-time purchases or under custom arrangements.
2.2 You authorize Clevertrek to charge your selected payment method for all fees due under your Plan, including recurring charges, taxes, and any applicable fees.
2.3 Accepted payment methods are those supported by Stripe at the time of purchase, typically credit and debit cards. Additional methods may be made available.
3. Stripe as Payment Processor
3.1 Clevertrek uses Stripe Payments Europe, Ltd. to process payments. By providing payment information, you also accept Stripe's terms and privacy policy. Stripe's terms apply to your use of Stripe's payment services.
3.2 Clevertrek does not store full card numbers, CVCs, or full bank-account numbers. These are handled directly by Stripe under PCI-DSS standards.
3.3 If Stripe imposes additional verification (such as 3D Secure / Strong Customer Authentication under PSD2), you agree to complete it.
4. Taxes
4.1 All prices are stated in Euros (EUR), unless otherwise indicated, and are exclusive of any applicable taxes.
4.2 VAT (IVA): As required, Spanish VAT or the equivalent VAT/GST/sales tax of your jurisdiction will be added at the rate in force at the time of billing.
4.3 EU B2B reverse charge: If you are a VAT-registered business established in another EU Member State and provide a valid VAT identification number, the reverse-charge mechanism may apply where allowed by law, in which case VAT is not charged by Clevertrek and you self-account for it in your jurisdiction.
4.4 You are responsible for any other taxes, duties, withholdings, or levies imposed by your jurisdiction in respect of your purchase.
5. Invoices
5.1 Clevertrek issues an electronic invoice for each charge, made available in your Account.
5.2 You agree to electronic invoicing in accordance with applicable law. If you require additional invoicing details (legal name of payer, VAT number, address), make sure your billing profile is correct before the charge is issued. Re-issuance of invoices for billing-profile errors may be subject to reasonable conditions.
6. Auto-Renewal
6.1 Paid Plans renew automatically at the end of each billing cycle for an additional cycle of equal length, at the price then in force (subject to Section 11 of the Terms of Service for price changes).
6.2 You authorize Clevertrek and Stripe to charge your payment method for each renewal until you cancel.
6.3 Before automatic renewal of long-term subscriptions (e.g., annual), Clevertrek will, where required by law, send a reminder by email a reasonable time before renewal.
7. How to Cancel
7.1 You can cancel an auto-renewing Subscription at any time from Account → Billing → Manage Subscription, or via the Stripe Customer Portal made available there.
7.2 Cancellation takes effect at the end of the then-current billing cycle. You retain access to Paid Plan features until that date.
7.3 Cancellation does not automatically delete your Account or your Workspaces. If you also wish to delete your Account or your data, follow the procedure in the Terms of Service and the Privacy Policy.
8. Refund Policy and the EU 14-Day Right of Withdrawal
8.1 EU 14-day right of withdrawal (consumers)
If you are a consumer resident in the European Union, you have a statutory right to withdraw from a paid Subscription within fourteen (14) days from the date of purchase, in accordance with Spanish Law 3/2014 (which transposes Directive 2011/83/EU). To withdraw, send a clear statement of your decision to billing@clevertrek.com before the deadline.
If you withdraw, we will refund all amounts received from you for the cancelled Subscription, using the same means of payment as for the original transaction, within fourteen (14) days of receiving your statement, unless we have already provided the contracted service in full, see below.
8.2 Exception — immediate execution
By starting to use Paid Plan features within the 14-day withdrawal period, you may be asked to expressly request and consent to immediate execution of the contract. In that case, in accordance with Article 103.a) of the Spanish General Consumer Law (Real Decreto Legislativo 1/2007), the right of withdrawal is lost once the service has been fully performed. Pro-rata refunds may apply for partial performance, where required by law.
8.3 Discretionary refunds outside the withdrawal period
Outside the 14-day withdrawal period, refunds are at Clevertrek's reasonable discretion. We will consider, in particular:
- whether you have used Paid Plan features (especially AI quota);
- whether you cancelled within a short time after auto-renewal without using the new cycle;
- whether there has been a substantive failure of the Service that we were unable to remedy.
For annual plans, where you cancel mid-cycle, we generally do not provide pro-rata refunds for the unused portion, except where required by law or where Clevertrek has materially failed to provide the Service.
8.4 No refunds for AI consumption
Where AI quota or AI tokens have already been consumed, the value consumed is non-refundable, regardless of the reason for cancellation, because the underlying cost has already been incurred with the AI provider.
8.5 Other refund cases
We may issue full or partial refunds at our discretion in cases such as:
- duplicate charges resulting from a Stripe error;
- charges made in obvious error after a cancellation;
- legitimate disputes that we agree are best resolved with a refund.
8.6 Clevertrek 30-Day Satisfaction Guarantee
In addition to the EU 14-day right of withdrawal described above, Clevertrek voluntarily offers a 30-day money-back satisfaction guarantee for new Paid Plan subscribers.
If you are a new subscriber to a Paid Plan and, within the first thirty (30) days of your initial purchase, you are not satisfied with the Service for any reason, you may request a full refund by writing to billing@clevertrek.com. Clevertrek will first work with you in good faith to address your concerns. If a satisfactory resolution cannot be found, Clevertrek will issue a full refund of the initial subscription fee.
This guarantee is subject to the following conditions:
- it applies only to your first paid subscription to Clevertrek, not to renewals or subsequent purchases;
- it does not cover the value of AI quota that has already been consumed during the 30-day period, since the underlying cost has already been incurred with the AI provider;
- it does not apply to one-time purchases such as consultancy hours or customization services, which are governed by their own terms;
- it does not apply where your Account has been suspended or terminated due to violation of these Terms, the Acceptable Use Policy, or any other policy incorporated into these Terms;
- it is offered in addition to, and does not limit, the EU 14-day right of withdrawal described in Section 8.1.
9. Failed Payments and Grace Period
9.1 If a renewal payment fails, Clevertrek (via Stripe) may retry the charge for a reasonable period, in line with Stripe's smart-retry logic.
9.2 During the retry period, your Plan may be marked as "past due". Clevertrek may:
- send notifications by email and in-product;
- restrict or pause Paid Plan features (in particular AI Features and quota-based features);
- after a reasonable grace period (typically 7–14 days), downgrade the Account to the Free Plan or suspend it entirely.
9.3 Resolved payments restore the Plan promptly. Persistent payment failures may lead to termination as set out in the Terms of Service.
10. Downgrades, Upgrades, and Pro-Rating
10.1 Upgrades to a higher tier take effect immediately. You will typically be charged a pro-rata amount for the remainder of the current billing cycle, unless otherwise indicated at checkout.
10.2 Downgrades to a lower tier typically take effect at the end of the current billing cycle, to avoid mid-cycle disruption. Where a downgrade requires removal of features (e.g., a Workspace beyond the lower tier's limit), you will be given the opportunity to bring your Account into compliance before the downgrade takes effect.
10.3 No partial refunds are issued for downgrades, except where required by law.
11. AI Quota and BYOK Behavior on Plan Changes
11.1 AI quota is consumed during the billing cycle. Unused quota generally does not roll over to the next cycle, except where explicitly stated.
11.2 On upgrade, the new quota replaces (or is added to) the existing quota in line with the destination plan's rules.
11.3 On downgrade or cancellation, residual quota is forfeited at the end of the cycle.
11.4 If you have used BYOK (Bring Your Own Key), your own usage and billing with the AI provider continue under your own contract with the provider, and are unaffected by your Clevertrek plan changes.
12. Promotional Codes and Lifetime Deals
12.1 Promotional codes (e.g., discount codes, beta-tester credits, early-bird offers) and any "lifetime" or one-time offers are subject to the conditions stated at the time of the offer. Clevertrek reserves the right to:
- limit the number of redemptions per Account;
- exclude promotional pricing from auto-renewal at the same discount;
- cancel offers in case of evident error;
- refuse promotional pricing where there are reasonable grounds to suspect abuse, fraud, or stacking of offers beyond their intended scope.
12.2 "Lifetime" offers refer to the lifetime of the relevant product, not necessarily the lifetime of the customer. If the product or feature is discontinued, the corresponding lifetime entitlement ceases, with reasonable notice.
13. Chargebacks and Disputes
13.1 Before initiating a chargeback with your card issuer or bank, please contact us first at billing@clevertrek.com. We will work to resolve the matter quickly and in good faith.
13.2 If a chargeback is initiated without prior contact and is found to be unjustified, Clevertrek reserves the right to:
- charge a reasonable administrative fee for handling the chargeback (where allowed by law);
- suspend or terminate the Account;
- refuse future Paid Plan registrations associated with the same person, payment method, or device.
14. Updates to These Subscription Terms
We may update these Subscription Terms from time to time. Material changes will be communicated as set out in the Terms of Service.
